Terms of Service

Agentcy ("Service") is an AI-powered marketing data analysis platform operated by Redstitch Digital ("Company," "we," "us," or "our"). The Service delivers synthesized marketing insights from connected data sources including Google Analytics, Google Search Console, Google Ads, YouTube, WooCommerce, and other third-party platforms.

The Service is delivered via the Model Context Protocol (MCP) and REST API, and is designed for use with AI assistants and development tools. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms").

Agentcy uses artificial intelligence and large language models (LLMs) to synthesize marketing data into actionable insights. While we strive to provide accurate and useful analysis, AI-generated content may contain inaccuracies, incomplete information, or misinterpretations of underlying data. Agentcy is not liable for business decisions made based on AI-generated content.

Agentcy accesses data from third-party services through your connected accounts. We do not guarantee the accuracy, completeness, or timeliness of data from third-party sources. You are responsible for verifying any insights or recommendations before acting on them.

The Service is currently in alpha/early access. It is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Features, pricing, APIs, data sources, and functionality may change at any time without prior notice during the early access period. We may also experience downtime, data interruptions, or service limitations as the platform matures.

To use the Service, you must create an account. You agree that:

• You are at least 18 years of age.
• You will maintain only one account per person.
• You are responsible for maintaining the security of your account credentials, including your password and API keys.
• You are responsible for all activity that occurs under your account, including any use of your API keys by third parties.
• You will promptly notify us at legal@goagentcy.com if you become aware of any unauthorized use of your account.
• You will provide accurate and complete information when creating your account and keep it up to date.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
• Conduct automated attacks, denial-of-service attacks, or submit excessive requests designed to overload or disrupt the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
• Resell, sublicense, or redistribute the Service or access to the Service without a separate written agreement.
• Use the Service to collect, store, or process data in violation of applicable privacy laws.
• Interfere with or disrupt the integrity or performance of the Service or its components.

The Service offers multiple subscription tiers, including a free tier with limited queries and paid tiers (Starter, Pro, Business) with increased quotas and features. Full pricing details are available on our pricing page.

• Paid subscriptions are billed on a recurring monthly or annual basis and auto-renew unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for the remaining portion of a billing period already in progress, except within the first 14 days of a new subscription.
• We reserve the right to change pricing with at least 30 days' notice. Price changes take effect at the start of the next billing period following the notice.
• If payment fails, we may suspend access to paid features until the outstanding balance is resolved.

The Service, including its technology, software, design, branding, documentation, and all related intellectual property, is and remains the property of Redstitch Digital. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

You retain full ownership of your marketing data and any data you provide through connected third-party accounts. We do not claim ownership of your data. We access your data only as necessary to provide the Service and do not sell, share, or use your data for any purpose other than delivering the Service to you.

You may cancel your account at any time through the Service portal or by contacting us at legal@goagentcy.com.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in abusive or fraudulent activity, or if continued provision of the Service becomes commercially impractical.

Upon account deletion, we will delete your account data, including stored credentials and configuration, within 30 days. Aggregated, anonymized usage statistics may be retained for analytics purposes.

To the maximum extent permitted by applicable law, Redstitch Digital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any claims arising under or related to these Terms or the Service shall not exceed the total amount you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Redstitch Digital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account or through a prominent notice within the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Arizona.
